Objective
This circular is to inform developers and solicitors on the relaxation to allow licence applicants who are companies to submit a copy of the Accounting and Corporate Regulatory Authority (ACRA)’s Business Profile in lieu of the Certificate of Incorporation and memorandum and articles of association in their licence application.
Background
Currently, applicants who are companies are required to submit a copy of the following documents verified by a statutory declaration with their applications for a housing developer’s licence:
a copy of the Certificate of Incorporation or the memorandum and articles of association or other instrument under which the company is incorporated; and
the latest audited accounts, i.e. the audited accounts prepared for the immediate past financial year which had just ended.
Recently, we have received requests from licence applicants to allow them to submit a copy of ACRA’s Business Profile in lieu of the Certificate of Incorporation or memorandum and articles of association.
Submission of the Business Profile
To facilitate licence applicants in their applications for a housing developer’s licence, the Controller has agreed to accept the following document in lieu of the Certificate of Incorporation or memorandum and articles of association:
a copy of ACRA’s Business Profile duly verified by a statutory declaration by the applicant;
ORa copy of ACRA’s Business Profile with Certificate of Production. In this case, the Business Profile will be authenticated by an Assistant Registrar of ACRA.
(Please note that licence applicants are still required to submit the last audited accounts verified by a Statutory Declaration and any other documents required by the Controller in the licence application).
